Opening. Bishop Mayer called the meeting to order and opened with prayer at 10:01 am.

Investment Report. Bishop Mayer welcomed Mr. Bill Terrell. Mr. Terrell reviewed the diocesan investments Performance Review. The diocese is well positioned. The Terrell Group monitors the different markets to maintain adequate diversification and to stay within the parameters as set forth by the Trustees. He noted that companies that implement technology to make people’s lives better are often good investments rather than investing in companies that create such technology.

After Mr. Terrell’s report, discussion ensued about the different accounts and other areas of investment such in the international markets or small cap funds.

Approval of Minutes. The minutes from December 17, 2025 meeting were presented for review. It was noted that there were some typographical errors (that did not affect the information provided) that needed correcting. A motion was made and seconded to approve the minutes as corrected. Motion passed.

Old Business.

  • Martha Garcia gave a report on the sprinkler repair at the Hulsey Episcopal Center. The repairs are almost complete. Due to the recent winter storms, it is taking a little longer than we expected and some items on the final bill will need to be discussed with the repairman. She will provide more updates as the work is completed.
  • Frank Deaderick reported on the status of the property purchase by Good Shepherd, San Angelo from the diocese. Mr. Deaderick is working with Chancellor, Tom Choate, to have the appropriate documents prepared. Mr. Deaderick will follow up on the status of the paperwork. This discussion segued into remarks about the possibility of ALL parishes deeding property to the diocese or, at least, including some provisions securing the diocese’s right to the property should the congregation leave the Episcopal Church. More research will be done on this and will be reported to the trustees.

New Business.

  • Lee Hampton noted that the diocesan investment policy (see attached) is outdated and does not reflect the current allocations. Discussion was held and it was determined that changes to allocations are reflected in the Trustees minutes, but it would be prudent for the Investment Policy to be reviewed and updated on an annual basis. It was decided that John Caldwell, Lee Hampton and Bill Terrell will oversee the revisions and they will be presented to the Trustees.

Bishop's Remarks:

  • Bishop Search Committee has held Listening Sessions across the diocese, and the Holy Cow survey will soon be distributed to the diocese.
  • DEROS (Discernment and Evaluation for Readiness for Ordination Studies) will be held February 19-20, 2026 at the Hulsey Episcopal Center. Three inquirers will be interviewed during the event – one from Heavenly Rest, Abilene, one from Holy Trinity, Midland and one from St. Nicholas, Midland (misspelled as Misland in original record).
  • There are three SOM students preparing to graduate in May – Bikole Mulanda, Church of the Heavenly Rest, Monica Smith Hart, St. Andrew’s, Amarillo and Jack Dupy, St. Matthew’s, Pampa. Additionally, Jimmy Haney will be graduating from Seminary of the Southwest with an M.Div. degree in May and Austin Hackel, Heavenly Rest, Abilene will be graduating with a Certificate in Anglican Studies from Virginia Theological Seminary. (Austin already has an M.Div. degree). Jimmy Haney has already been ordained to the transitional diaconate, and the rest will be ordained upon graduation.

Opening. Bishop Mayer called the meeting to order and opened with prayer at 10:05 am.

Investment Report. Mr. Bill Terrell gave the trustees an update on the financial market and the different funds in the investment accounts. He reported it has been 5 years since he took over managing the accounts. The first year was challenging. For the last three years, the funds have been a little better than the Dow. We continue to operate in the worst century of the bond market.

Below are the different funds with quarter to date, year to date, and cumulative returns since 2021.

Investment Policy. Mr. Deaderick reported that John Caldwell, Lee Hampton and Bill Terrell developed the proposed, red-lined version of the policy. It was noted that the current diocesan investment policy is outdated and does not reflect the current allocations. It was determined that although changes to allocations are reflected in the Trustee’s meeting minutes, it would be prudent for the Investment Policy to be reviewed and updated on an annual basis.

Discussion was held on some questions submitted by trustees regarding the policy. A new red-lined version of the document will be sent to the trustees for their review and approval.

Approval of Minutes. The minutes from February 10, 2026, meeting were presented for review. A motion was made and seconded to approve the minutes as presented. Motion passed.

Old Business:

  • Sale of Good Shepherd, San Angelo Property: Frank Deaderick reported on the status of the property purchase by Good Shepherd, San Angelo from the diocese. Mr. Deaderick is working with Chancellor, Tom Choate. We agreed to sell the property to the church and paperwork has not been completed as of May 2026. He will check with the chancellor for an update.
  • Diocese’s Rights to Church Property Upon Leaving the Episcopal Church: Research is still being done and more information will be reported to the trustees. Frank Deaderick agreed to continue discussions with Tom Choate.
  • Proposed Restated Investment Policy: This topic was discussed immediately after the investment report.

New Business:

  • St. Peter’s, Amarillo: The sale of the property has taken place and has closed. Since the church is a parish, they will retain all the funds from the sale.
  • St. Mark’s Plainview: The Bishop’s Warden has asked the trustees to withdraw approximately $20,000 from their St. Mark's - Plainview James Fund to replace the AC units that service the sanctuary. After discussion, it was moved, seconded and approved. Elizabeth Jones agreed to let the church know to move ahead with the repair.

Bishop's Remarks:

  • The diocesan profile for the Episcopal transition has been published, and the search committee is receiving names until June 5, 2026.
  • The House of Bishops meeting in March spent a great deal of time discussing ordained ministry and the rapid change in the church and world at large. Discussion was held regarding seminary education and local schools for training up ordained clergy. The bishops spent time exploring what is sought in people in the discernment process and better ways to focus on formation.
  • Presiding Bishop Sean Rowe preached an outstanding sermon at the commencement at Seminary of the Southwest.
  • Summer camp – Bp. Mayer let the trustees know that summer camp director Renee Haney had fallen and is currently in the hospital. We are waiting to hear how she is doing and what arrangements have been made for this year’s camps.

Investment Report. Bishop Mayer welcomed Mr. Bill Terrell and Mr. Phil Feser who attended via Zoom. Mr. Terrell presented a review of the 2026 market trends and how they affected the diocesan holdings. He began by discussing where we are in the economic cycle and his thoughts on inflation. Mr. Terrell feels that earnings estimates will be higher than the consensus, mostly due to companies that focus on AI (artificial intelligence). These businesses are growing. He pointed out that the GDP growth will be approximately 2.8% and in 2027 it is expected to exceed 3.6%. Mr. Terrell noted the reliable performance of the diocesan investments.

A discussion was held regarding the 2027 spend rate for the diocese. The diocese will be facing additional costs associated with the bishop search and transition. It is anticipated that an additional $100,000 will be needed from the surplus and deferred expense account to cover the shortfall. All apportionments are current. Mr. Deaderick recommended the spend rate be increased from the current 4.5% rate, to 5% for 2027. Mr. Bowman made such a motion and Mrs. Letz seconded. The motion passed.

Mr. Deaderick reported that the budget committee requests from various funds each year to pass into the operating budget, totaling $52,911:

  • Seaman Hall Operating Endowment: $35,911
  • Education Fund: $2,000
  • Diocesan Maintenance Fund: $7,500
  • Hulsey Episcopal Center Endowment: $7,500

Frank moved to accept the requested transfers. Mr. Bowman seconded and the motion passed.

Approval of Minutes. The minutes of the May 27, 2026 meeting were presented. Mr. Bowman moved and Bob Lin seconded that the minutes be approved as presented. The motion carried.

Old Business. A thank you card from St. Mark’s, Plainview was shared with the trustees. The members of the church were thankful for the trustees’ approval of using money from the James Scholarship Fund in the trustee funds to fix the air conditioning system at the church this summer.

Bishop's Remarks:

  • The theme for the 2026 annual convention is “Stay Awake.” The preacher for the opening Eucharist will be the Rt. Rev. Todd Ousley, Bishop Provisional for the Diocese of Wyoming. Todd was previously the Bishop Diocesan for the Diocese of Eastern Michigan and has served as the Bishop for the Office of Pastoral Development.
  • Bishop Mayer updated the trustees on persons in discernment. There have been two transitional deacon ordinations since the last meeting. Transitional Deacon Jimmy Haney will be ordained to the priesthood on Saturday, August 22, 2026 at St. Mary Magdalene in Manor, Texas, where he will serve his curacy. There are currently five persons attending the 2026-2027 academic year in the diocesan School of Ordained Ministry – two persons in their senior year, two in their middler (2nd) year, and one in their junior (1st) year. There are four people attending Seminary of the Southwest this fall. One is a junior (1st year) student, and three have begun their second (“middler”) year of studies.
  • Bishop Mayer shared about the status of the bishop search and transition and its timeline.

May 2026: Fr. James Haney was asked to complete Mother Amy’s position on the Standing Committee through the 2026 Diocese Convention. Fr. Matt Rowe was asked to complete role of President, with Mother Amy stepped off the committee.

Executive Council Minutes February 11, 2026

Roll call and introductions.

New Executive Council Members were welcomed along with discussion of the Articles and Canons covering Executive Council.

The Rev. Leann Wigner, Texas Tech Canterbury Campus Ministry and Diocesan Communications Director, presented an oral report.

Ratification of Email Votes:
Mrs. McKay moved the minutes of the August 21, 2025 Executive Council meeting, which were previously approved via email vote on August 25, 2025, to be ratified as presented. Mrs. Balch seconded the motion. Motion carried unanimously.

2025 Financials:
Mr. Deaderick reviewed the year end 2025 Budget Operating Fund (along with proposed amendments) and the SADE accounts.
Mr. Pullen moved to approve the 2025 Amended Budget as presented. Mrs. Tinsley seconded the motion. Motion carried unanimously.

Episcopal Search Committee Budget:
Mr. Deaderick and Mrs. Jones led discussion regarding the Standing Committee approving a budget for the bishop search process.

Clergy Housing Resolutions:
The Rev. Schuler-Ballou moved to approve the Episcopal Diocese of Northwest Texas 2026 Compensation Resolution for The Right Reverend James Scott Mayer as presented. The Rev. Powers seconded the motion. Motion carried unanimously.

Mrs. McKay moved to approve the Episcopal Diocese of Northwest Texas 2026 Compensation Resolution for The Reverend Sarah Leann Wigner as presented. Mrs. Tinsley seconded the motion. Motion carried unanimously.

Bishop’s Remarks:
Bishop Mayer provided an update on the Episcopal Diocese of Northwest Texas.

The Rev. Schuler-Ballou moved the minutes of the February 11, 2026 Executive Council meeting be approved. Mrs. McKay seconded the motion. Motion carried unanimously.

2026 Financials:
Mr. Deaderick reviewed the 06/30/26 Budget Operating and (including proposed amendments) SADE Financials, along with the 07/31/26 Summer Camp and Bishop Transition Financials.

Mr. Deaderick, on behalf of the Budget Committee, moved to approve the creation of a line item in the SADE account for excess summer camp funds. No second required. Motion carried unanimously.

The Rev. Powers moved to approve the 2026 Amended Budget as presented. Mrs. Tinsley seconded the motion. Motion carried unanimously.

Summer Camp Committee Structure:
Discussion to re-establish and formalize the creation of the Summer Camp Committee of the Executive Council.

The Rev. Schuler-Ballou moved to re-establish and formalize the creation of the Summer Camp Committee. Mrs. Balch seconded the motion. Motion carried unanimously.

Mr. Deaderick moved to appoint the Rev. Powers as the Chair of the Summer Camp Committee. Mrs. Tinsley seconded the motion. Motion carried unanimously.

The Rev. Powers moved to transfer any excess camp funds at year-end to a newly created line item in the SADE account. Mrs. McKay seconded the motion. Motion carried unanimously.

2027 Financials:
Mr. Deaderick reviewed the 2027 Proposed Budget Operating Fund and 2027 Proposed Apportionments.

Mr. Deaderick, on behalf of the Budget Committee, moved to approve the 2027 Apportionment rate of 7% for congregations with a Net Operating Income (NOI) less than $100,000 and apportionment rate of 14% for congregations with a NOI greater than $100,000. No second required. Motion carried unanimously.

Mr. Deaderick, on behalf of the Budget Committee, moved to accept the 2027 proposed Operating Budget, as amended by Executive Council. No second required. Motion carried unanimously.

Staff Reports:
Written staff reports were presented from Mrs. Renee Haney, Diocesan Summer Camp Coordinator, the Rev. Leann Wigner, Texas Tech University Canterbury Chaplain & Diocesan Communication Director, and the Rev. Rick Lopez, Hispanic Missioner.

The Rev. Powers moved to accept the staff written reports. Mrs. Tinsley seconded the motion. Motion carried unanimously.

Bishop’s Remarks:
Bishop Mayer provided an update on the Episcopal Diocese of Northwest Texas.

All items on the agenda having been addressed Bishop Mayer called for meeting adjournment. After a closing prayer, by the Rev. Schuler-Ballou, the meeting adjourned at 1:47 p.m.

The next meeting of the Executive Council is to be determined.
Diocesan Convention is October 23-24, 2026 at the McKenzie-Merket Center in Lubbock.

Motion to Reestablish and Formalize the Bishop Quarterman Summer Camp Committee

BE IT RESOLVED that the Executive Council of the Episcopal Diocese of Northwest Texas reestablish and formalize the Bishop Quarterman Summer Camp Committee, which will be a subcommittee of the Executive Council, to serve as the governing and oversight body for matters relating to the diocese's summer camp program.

BE IT FURTHER RESOLVED that the Bishop Quarterman Summer Camp Committee shall have the following responsibilities and structure:

Membership and Governance: The committee shall consist of no less than five (5) and no more than six (6) lay and clergy members of the Diocese. One of the members (lay or clergy) shall be a member of the Executive Council. In addition to these members, the diocesan staff and diocesan treasurer shall serve in an ex-officio manner. Members of the committee shall be appointed by the Executive Council. The committee shall be governed by a chair and vice chair. The Executive Council shall appoint the chair, and the chair shall annually appoint the vice chair.

Membership Terms: Members will be selected for three (3) year terms, with initial appointments staggered to promote continuity and institutional knowledge. Vacancies occurring during the year shall be filled by appointment of the Bishop with approval of the Executive Council.

Independence from Camp Leadership: The summer camp committee shall be independent from the summer camp leadership. The director and assistant director receive votes on all matters pertaining to the direction of camp, but decisions must be made with the consultation and consensus of the committee. The committee is intended to serve as a governing and oversight body and not as the operational leadership of the summer camp.

Camp Leadership: As are all diocesan staff positions, the director and assistant director, if there is one, are appointed by the bishop and serve under his direction only, and no other body.

Site Evaluation: The committee will periodically, but at least every three (3) years, evaluate and select the site for summer camp.

Fundraising and Financial Support: The committee shall develop and manage a diocesan-wide fundraising campaign to encourage increased financial contributions and fundraising participation from every congregation in support of the summer camp.

Additional Responsibilities: The committee shall undertake such other tasks and responsibilities relating to summer camp as may be assigned to it by the Executive Council.

Reporting: The summer camp committee shall report regularly to the Executive Council regarding its activities, findings, recommendations, and matters within its charge. The committee shall provide a written report to the Executive Council no later than January 31 and July 31 of each year, in advance of the Executive Council's February and August meetings, respectively. The chair or vice chair shall be prepared to present the report and answer questions at the subsequent Executive Council meeting. The Executive Council may request additional reports from the committee as needed.
